As part of the Termination Agreement, the Company also agreed to withdraw the Registration Statements on Forms S-4 and SB-2 that it had filed with the Securities and Exchange Commission pursuant to the Merger Agreement. Each party will bear its own expenses in connection with the negotiation, execution and delivery of the Merger Agreement and the Termination Agreement.
