On October 11, 2006, Michaels Stores, Inc. (the “Company”) issued a press release announcing that it intends to offer certain debt securities in a transaction exempt from the registration requirements of the Securities Act of 1933. The Company is filing this press release in accordance with Rule 135c under the Securities Act of 1933. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
The debt securities to be offered have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
