Item 8.01. OTHER EVENTS

 

On April 22, 2009, the Iowa Department of Human Services and the Iowa Department of Public Health announced their intent to award a contract to the Company to provide managed behavioral healthcare services to Medicaid recipients and other beneficiaries in the State of Iowa.  The Company currently holds a contract for the provision of these services.  The new contract will be for a term of  2.5 years beginning on January 1, 2010 with options for the State of Iowa to extend the term of the contract for three one-year terms. The award is subject to the negotiation and execution of a contract between the Company and the State of Iowa.  While the Company does not anticipate any impediments to entering into the new contract, there can be no assurance that the Company and the State of Iowa will enter into the new contract.  The contract is expected to generate approximately $155 million in annual revenue.  However, there are certain material terms of the contract that are yet to be finalized that may impact these estimates.  Under Iowa law, the bidders who were not awarded the contract have the right to file a protest seeking to overturn the award.  There can be no assurance that a protest will not be filed, or that such a protest will not be successful.
