(e) On January 22, 2010, the Compensation Committee (the Compensation Committee) of the Board of Directors of OpenTable, Inc. (the Company) approved the following 2010 base salaries and target bonus opportunities for the named executive officers of the Company (as identified in the Companys final Prospectus related to its secondary public offering, which was filed with the Securities and Exchange Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, on September 23, 2009). The 2010 base salaries and target bonus opportunities set forth in the table below are effective January 1, 2010. The Compensation Committee retains the discretion to further adjust base salaries and bonus opportunities for the named executive officers of the Company from time to time in the future.
