Item 8.01.  Other Events.

 

On August 25, 2011, CardioNet, Inc. (the “Company”),  received a Civil Investigative Demand (“CID”) issued by the U.S. Department of Justice, Western District of Washington.  The CID states that it was issued in the course of an investigation under the federal false claims act and seeks documents for the period January 1, 2007 through the date of the CID.  The CID indicates that the investigation concerns allegations that the Company may have used inappropriate diagnosis codes when submitting claims for payment to Medicare for its real-time, outpatient cardiac monitoring services.  The Company had no knowledge of the investigation prior to receipt of the CID.

 

The Company intends to fully cooperate with the government’s request and will begin the process of providing information in response to the CID.  The Company is unable to predict what action, if any, might be taken in the future by the Department of Justice or other governmental authorities as a result of this investigation or what impact, if any, the outcome of this matter might have on the Company’s business, financial position or results of operations.
