Item 1.01 Entry into a Material Definitive Agreement.
On November 1, 2011, PHH Corporation (PHH, the Company, we, our or us) entered into an Indemnification Agreement (the Indemnification Agreement) with Thomas P. Gibbons, a director of the Company. The Company has previously entered into Indemnification Agreements with each other member of the Board of Directors (the Board) of the Company, including the Companys President and Chief Executive Officer, Jerome J. Selitto. Pursuant to such Indemnification Agreements, the Company has agreed to indemnify and advance expenses and costs incurred by each director in connection with any claims, suits or proceedings arising as a result of his or her service as a director, to the maximum extent permitted by law, including third-party claims and proceedings brought by or in right of the Company. The foregoing description of the Indemnification Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Indemnification Agreement, which is filed herewith as Exhibit 10.1 and is incorporated herein by reference in its entirety.
Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On October 27, 2011, the Board approved the amendment and restatement of the Companys By-Laws (as so amended and restated, the amended By-Laws). The amendments effected pursuant to the amended By-Laws eliminate the Executive Committee of the Board of Directors and delete all references to the Executive Committee that were previously contained in Article III of the Companys By-Laws by revising Section 3.01 and deleting Section 3.03 of the Companys By-Laws.
