Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 19, 2012, John B. Menzer resigned as Chief Executive Officer of Michaels Stores, Inc. (the Company), effective immediately, to focus on recovery and rehabilitation from the stroke he suffered in April. In connection with his resignation, Mr. Menzer will receive the benefits and payments which become payable in connection with a termination of his employment related to a disability, pursuant to the terms of his employment agreement with the Company dated as of March 6, 2009, and as amended on June 2, 2009 (such employment agreement and amendment previously disclosed in the Companys Quarterly Report on Form 10-Q for the quarterly period ended May 2, 2009).
As previously disclosed, the Board of Directors of the Company established an interim Office of the Chief Executive Officer (the CEO Office) comprised of Charles M. Sonsteby and Lewis S. Klessel, and temporarily transferred Mr. Menzers responsibilities to the CEO Office. Messrs. Sonsteby and Klessel will continue to execute the responsibilities of the Companys principal executive officer through the CEO Office, until the Companys search for a new Chief Executive Officer is completed.

On July 20, 2012, the Company issued a press release announcing Mr. Menzers resignation, which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
