Item 2.02  Results of Operations and Financial Conditions

On March 24, 2009, Southwall Technologies, Inc. (the “Registrant”) issued a press release  announcing its financial results for the year and three month period ended December 31, 2009.  A copy of such press release of the Registrant is attached as Exhibit 99.1 to this Current Report On Form 8-K and is incorporated herein by reference in its entirety.
