Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) NutraCea previously reported on a Current Report on Form 8-K dated March 14, 2008 that Todd Crow would resign as chief financial officer effective March 31, 2008. Todd Crow has agreed not to resign effective March 31, 2008 and will continue to be the chief financial officer for NutraCea until the search for his replacement has been completed.

(c) NutraCea previously reported on a Current Report on Form 8-K dated March 14, 2007 that it had appointed Ken A. Mueller to serve as NutraCea’s chief financial officer effective March 31, 2008. The purpose of this amendment is to report that on March 18, 2008, NutraCea rescinded Mr. Mueller’s appointment as chief financial officer and the parties agreed to cancel the employment agreement between the parties. NutraCea and Mr. Mueller agreed to these actions because Mr. Mueller, due to personal reasons, did not commence employment as specified in the Employment Agreement.
