(b) Resignation of Officer

Effective February 18, 2010, Robert E. Ford resigned from his position as President of the MCF Services Group of our subsidiary, Merriman Curhan Ford & Co.  Mr. Ford will continue to serve as a consultant to Merriman Curhan Ford & Co. in order to ensure an orderly transition of his duties.
