Item 8.01. Other Events.

 

On January 27, 2015, MagneGas Corporation (the “Company”) held its annual shareholder meeting for the year ended December 31, 2013 (the “2013 Annual Meeting”). On January 29, 2015, the Company received notification from the Nasdaq Office of General Counsel that the Company, by holding the 2013 Annual Meeting, cured its deficiencies with regard to Nasdaq Listing Rules 5620(a) and 5620(b) with respect to the annual meeting and proxy solicitation requirements for continued listing on the Nasdaq Stock Market. Therefore, the scheduled hearing before the Hearings Panel has been cancelled and the Company’s stock will continue to be listed and trade on the Nasdaq Stock Market.
