Item 2.03 Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of a Registrant.

 

On February 20, 2015, we and our subsidiaries entered into Amendment No. 5 to the Master Note Purchase Agreement, dated July 15, 2008, as amended, which (i) increases the aggregate amount of permitted investments in other lines of business from $50 million to $100 million and (ii) increases the limit on certain restricted payments, including dividends and share repurchases, in any fiscal year from $200 million to $300 million (which limit applies whenever the leverage ratio exceeds 3.0 to 1.0).
