ITEM 8.01.  OTHER EVENTS.

         On May 31, 2006,  Interlink  Electronics,  Inc.  issued a press release
announcing that it will postpone its Annual Meeting until after it has filed its
Annual  Report on Form 10-K for the year ended  December 31,  2005,  so that the
Annual  Report  can be  provided  to  stockholders  with the proxy  mailing.  As
previously  announced,  Interlink's  management  hopes to file  its 2005  Annual
Report during the third quarter of 2006. A copy of the press release is attached
as Exhibit 99.1 and is incorporated by reference herein.
