Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 6, 2008, Mark F. Skalabrin notified Mercury Computer Systems, Inc. (the “Company”) that he will resign his position as Senior Vice President, Application Acceleration to pursue other business interests. Mr. Skalabrin has agreed to remain with the Company until the completion of a customer-related project for the Company, which is expected to occur in June or July of 2008. Mr. Skalabrin’s resignation will be effective seven (7) days following the completion of such project.
