Item 8.01. Other Matters.

On September 24, 2008, OMNI Energy Services Corp. (the “Company”) announced that Mark Stipe has been named vice president and general counsel of the Company, effective October 1^st. Mr. Stipe will provide advice and counsel to OMNI’s president, board of directors, and senior management on all legal and policy issues affecting the Company. He will also oversee implementation of regulatory compliance processes for applicable federal, state and local laws, regulations and administrative requirements.

A copy of the press release announcing the appointment is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The press release should be read in conjunction with the note regarding forward-looking statements, which is included in the text of the press release.
