Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.

On July 13, 2009, Gayle P.W. Jackson, a director of the managing board of Atlas Pipeline Partners GP, LLC, the general partner of Atlas Pipeline Partners, L.P. (the “Partnership”), was elected to the board of directors of Atlas America, Inc., the parent of the Partnership. Accordingly, Ms. Jackson has resigned as an “independent” director of the managing board of the Partnership effective July 13, 2009.
