Item 8.01 — Other Events.
On February 22, 2012, Great Lakes Dredge & Dock Corporation (the “Company”) issued a press release announcing that the Company’s 2012 Annual Meeting of Stockholders (“Annual Meeting”) will be held on May 9, 2012 at 10:00 A.M. at Lewis University, 2122 York Road, Oak Brook, Illinois 60523. The Company’s Board of Directors has set March 28, 2012 as the record date for the determination of stockholders entitled to vote at the Annual Meeting.
The matters to be discussed at the Annual Meeting are described in more detail in the press release regarding the same, furnished as Exhibit 99.1 hereto and incorporated herein by reference.
