E-mail to Employees

Hi everyone,

In order to keep you updated on the latest news regarding Roche’s unsolicited proposal, I’m writing to let you know that today our Board of Directors unanimously rejected Roche’s offer to acquire Illumina for $51.00 per share. The press release we issued is attached.

After a thorough review of the revised offer, our Board of Directors determined that it, like the previous offer, dramatically undervalues Illumina and does not reflect our singular position in an industry poised for extraordinary growth. The Board remains confident in Illumina’s ability to continue executing against the extraordinary opportunity ahead, and as such, believes our independent strategic plan will continue to create stockholder value significantly greater than Roche’s offer.

We expect that there will be continued speculation about Roche. However, I encourage you to stay focused on executing as you always have. Maintaining focus on our business and our customers’ needs is critical to our continued success.

If you receive any outside inquiries regarding this situation, from the media or otherwise, please direct them to the contacts listed on the release.

Separately, as you may have already seen, this morning we announced a great preliminary revenue number for the Company’s first quarter of $270 million. We are very pleased with these preliminary results, which are a direct result of our team’s focus and execution. Thank you again for your excellent work and ongoing support.

Best regards,

Jay

Forward-looking statements are subject to known and unknown risks and uncertainties and are based on potentially inaccurate assumptions that could cause actual results to differ materially from those expected or implied by the forward-looking statements. Illumina undertakes no obligation, and does not intend, to update these forward-looking statements.
