On April 27, 2012, United Rentals, Inc. (the Company or United Rentals) held a special meeting at which the Companys stockholders voted on proposals to (i) adopt the Agreement and Plan of Merger between the Company and RSC Holdings Inc. (RSC), dated as of December 15, 2011 (the Merger Agreement), (ii) approve the issuance of shares of the Companys common stock to stockholders of RSC as contemplated by the Merger Agreement and (iii) approve the adjournment of the special meeting, if necessary or appropriate, to permit further solicitation of proxies in favor of the first two proposals. The special meeting was not adjourned to a later date. The final voting results for each proposal are set forth below.
