Item 1.01. Entry into a Material Definitive Agreement
On January 6, 2016, Akebia Therapeutics, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Morgan Stanley & Co. LLC and UBS Securities LLC as representatives of the several underwriters listed on Schedule II thereto (the Underwriters), related to a public offering (the Offering) of 7,250,000 shares of the Companys common stock, $0.00001 par value per share, (the Common Stock) at a price to the public of $9.00 per share pursuant to a registration statement on Form S-3 (File No. 333-203206) and a related prospectus supplement. In addition, the Company granted the Underwriters an option to purchase, at the public offering price less any underwriting discounts and commissions, an additional 1,087,500 shares of Common Stock exercisable for 30 days from the date of the Underwriting Agreement. Subject to customary closing conditions, the Offering is expected to close on January 12, 2016.
