Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 19, 2016, Robert H. Swan notified the Company that he was resigning as a member of the Board of Directors of Applied Materials, Inc., effective immediately, in light of his new role as Chief Financial Officer of Intel Corporation. Mr. Swan’s resignation is not due to any disagreement with the Company related to the Company’s operations, policies or practices.
