Update on Merger with Connecticut Water: Cal Waters Proxy Contest
Dear SJW Team,
Today we issued a press release which responds to California Waters launch of a proxy contest that challenges SJW Groups merger of equals with Connecticut Water.
Cal Water, in making this announcement and filing the corresponding preliminary proxy materials with the Securities and Exchange Commission, intends to solicit SJW Group stockholders for a No vote on our merger of equals, ahead of our special meeting to vote on our exciting transaction. These sorts of responses occur from time to time in merger transactions and can often generate increased media attention and public speculation. We ask that you avoid this distraction and keep your focus on our daily responsibilities of providing our customers with safe, high quality and reliable water service.
We consider Cal Waters action to be a needless distraction meant solely to focus attention away from their inadequate proposal and to defeat the formation of one of the countrys largest, strongest and best water companies. As we emphasized in our release, we continue to be committed to our existing merger agreement with Connecticut Water, which remains on track to close during the fourth quarter of 2018. We believe that our merger of equals remains superior to Cal Waters proposal, which is an inferior, uncertain, and non-binding indication of interest that has a potentially lengthy and uncertain timeline to close.
Additionally, we continue to believe our existing transaction with Connecticut Water provides greater long-term benefits for our customers, the communities we serve and, importantly, all of our employees. We have made clear our commitment to no employee layoffs and no significant changes in compensation or benefits. Cal Water has not.
