Item 8.01 Other Events.

Effective December 31, 2010, the Origination Assistance Agreement dated as of December 15, 2000, as amended, by and between Merrill Lynch Credit Corporation ("MLCC") and PHH Mortgage Corporation, as successor to Cendant Mortgage Corporation ("PHH Mortgage"), and the Loan Purchase and Sale Agreement dated as of December 15, 2000, as amended, by and between MLCC and PHH Mortgage, were each automatically extended in accordance with their applicable terms. PHH Mortgage is a wholly owned subsidiary of PHH Corporation.
