Item 2.02 Results of Operations and Financial Condition.

On May 8, 2014, Cambium Learning Group, Inc. (the "Company") issued a press release announcing its financial results for the three months ended March 31, 2014. A copy of the press release is attached hereto as Exhibit 99.1.

This press release attached hereto as Exhibit 99.1, insofar as it discloses historical information regarding the Company’s results of operations and or financial condition for the three months ended March 31, 2014, is being furnished to the Securities and Exchange Commission under Item 2.02 of Form 8-K.





Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 7, 2014, Todd Buchardt notified the Company of his decision to resign as Senior Vice President of Human Resources and General Counsel and Secretary of the Company, effective May 23, 2014. Mr. Buchardt’s decision to submit his resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. It is anticipated that the Company will enter into a release agreement with Mr. Buchardt acknowledging the final terms of his departure from the Company, in accordance with his employment agreement dated July 13, 2006, as subsequently amended on May 8, 2009.
