Item 2.06 Material Impairments.

On November 25, 2015, Pendrell Corporation (the "Company") reported that a portion of the Company’s intellectual property assets is impaired. The Company has determined that the impairment impacts goodwill and intangibles. The aggregate range of impairment is $100 million to $110 million. The Company does not anticipate that the impairment charge will result in any future cash expenditures.
