State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q, N-SAR or the transition report portion thereof could not be filed within the prescribed time period.
 
The Company’s Quarterly Report on Form 10-QSB for the three months ended July 31, 2005 cannot be filed within the prescribed time period because the Company requires additional time for compilation and review to insure adequate disclosure of certain information required to be included in the Form 10-QSB. In addition, the Company received SEC comments on its Form SB-2 filed on August 1, 2005 on September 2, 2005 and is incorporating certain responses to such comments into its financial statements to be included in its Quarterly Report on Form 10-QSB for the three months ended July 31, 2005. The Company’s Quarterly Report on Form 10-QSB will be filed on or before the 5th calendar day following the prescribed due date.

Xenomics, Inc.'s financial statements for the three months ended July 31, 2005 to be included in Xenomics's Form 10-QSB for the three months ended July 31, 2005 will reflect approximately (i) $270,000 of research and development expense (ii) $955,000 of general and administrative expense and (iii) $300,000 of stock based compensation expense.

Xenomics, Inc.'s financial statements for the three months ended July 31, 2005 to be included in Xenomics' Form 10-QSB for the three months ended July 31, 2005 will reflect consolidated loss from operation of approximately $1,525,000 as compared to a loss of approximately $95,000 for the three months ended July 31, 2004.
