Entry into a Material Definitive Agreement On April 30, 2006, Aviall, Inc., a Delaware corporation (the "Company"), entered into a definitive agreement and plan of merger (the "Merger Agreement") with The Boeing Company, a Delaware corporation ("Boeing"), and its wholly-owned subsidiary, Boeing-Avenger, Inc., a Delaware corporation ("Merger Subsidiary"). Under the terms of the Merger Agreement, which have been approved by each company's Board of Directors, Boeing will pay $48 in cash for each share of the Company's common stock outstanding at the Effective Time (as defined in the Merger Agreement). Pursuant to the Merger Agreement, Merger Subsidiary will merge with and into the Company (the "Merger"), whereupon the separate existence of Merger Subsidiary shall cease and the Company will become a wholly-owned subsidiary of Boeing. The Merger is subject to the approval of the Company's stockholders and other closing conditions, including the obtaining of certain required antitrust approvals. The Merger Agreement provides for a termination fee of $44.4 million and reimbursement of up to a maximum of $2.5 million for incurrence by Boeing of fees and expenses in connection with the transactions contemplated by the Merger Agreement, which are payable by the Company under certain circumstances. The forgoing description of the Merger Agreement does not purport to be complete and is qualified in its entirety by reference to the Merger Agreement, which is attached as Exhibit 2.1 hereto, and is incorporated herein by reference. As a material inducement to the willingness of Boeing to enter into the Merger Agreement, simultaneously with the execution of the Merger Agreement, certain employee-stockholders entered into amendments and restatements to their employment or severance agreements with each of the Company and Boeing and non-competition agreements with Boeing, none of which is effective until the Effective Time.
