Director Resignation

On January 5, 2009, Todd D. Parker resigned as a member of the Board of Directors of ParkerVision, Inc. (the “Company”).  Mr. Parker’s decision to resign was not the result of any disagreement with the Company.  On January 6, 2010, the Company issued a press release announcing the resignation.  The full text of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference in its entirety.
