 Item 8.01 Other Events.

 

On February 11, 2019, Taronis Technologies, Inc. (the “Company”) filed a prospectus supplement relating to its previously announced public offering of an aggregate of 10,800,000 shares (the “Shares”) of the Company’s common stock, par value $0.001 per share (“Common Stock”) and warrants to purchase an aggregate of up to 8,100,000 shares of Common Stock (the “Warrants”), at a combined purchase price of $1.25 per Share and accompanying Warrant. The Company is filing as Exhibit 5.1 hereto the opinion of our legal counsel relating to the legality of the issuance and sale of the Shares and the Warrants, and the shares of Common Stock issuable upon exercise of the Warrants.
