(d) New Director
On December 8, 2005, the Board of Directors of The Dow Chemical Company (the "Company") elected Geoffery E. Merszei Director of the Company.
At the present time, Mr. Merszei has been named as a member of the Finance Committee.
There is no arrangement or understanding between Mr. Merszei and any other person pursuant to which Mr. Merszei was elected as a director of the Company. There are no transactions in which Mr. Merszei has an interest requiring disclosure under Item 404(a) of Regulation S-K.
