Results of Operations and Financial Condition.

On May 24, 2007, Stage Stores, Inc. (the "Company") issued a News Release announcing its financial results for the first quarter ended May 5, 2007.  Additionally, the Company provided second quarter and updated full year earnings guidance.   A copy of the News Release is attached to this Form 8-K as Exhibit 99.
