Results of Operations and Financial Condition.

On March 10, 2009, Stage Stores, Inc. (the “Company”) issued a News Release announcing its financial results for the fourth quarter and full year ended January 31, 2009.  Additionally, the Company provided first quarter and full year 2009 sales and earnings guidance. A copy of the News Release is attached to this Form 8-K as Exhibit 99.
