Item 8.01    Other Events.

On August 9, 2018, USG Corporation (the “Company”) issued a press release announcing the date and time of the special meeting of stockholders of the Company (the “special meeting”) to be held in connection with the previously announced proposed transaction between the Company and Gebr. Knauf KG (“Knauf”) as well as the record date for the special meeting and the related conditional special dividend. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
