ITEM 5. OTHER EVENTS
On June 29, 2002, Allergan, Inc. (the “Company”) completed its spin-off of Advanced Medical Optics, Inc. (“AMO”), by way of a distribution of shares of AMO to stockholders of the Company. Additionally, on June 24, 2002, the Company and AMO entered into the Contribution and Distribution Agreement, Transitional Services Agreement, Employee Matters Agreement, Tax Sharing Agreement and Manufacturing Agreement described in AMO’s Registration Statement on Form 10 filed with the Securities and Exchange Commission on March 1, 2002, as amended.
