(b) After seventeen years of distinguished service, Matthew J. Zolnowski, Executive Vice President and Chief Administration Officer of Oshkosh Corporation (the “Company”), advised the Company on October 21, 2009 of his intention to retire from the Company and, in connection with his retirement, to resign from his position as Executive Vice President and Chief Administration Officer of the Company. Mr. Zolnowski’s retirement and resignation will be effective December 31, 2009. Mr. Zolnowski is currently a named executive officer of the Company for Securities and Exchange Commission purposes.
