Security and Issuer This Statement relates to the Common Stock, par value $0.01 per share, of the Issuer. The Issuer's principal executive offices are located at 11701 NW 101st Road, Miami, FL 33178. Item 2. Identity and Background This statement is being filed by Glenn H. Nussdorf, an individual, residing at 14 E. 81st Street, New York, NY 10028. Mr. Nussdorf's principal occupation is as Chairman and Chief Executive Officer of Quality King Distributors, Inc., 2060 Ninth Avenue, Ronkonkoma, NY 11779. Mr. Nussdorf has not, during the last five years, been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors) or been party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceedings was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws. Mr. Nussdorf is a United States citizen. Item 3. Source and Amount of Funds or Other Consideration The common stock owned by Mr. Nussdorf was purchased with personal funds. Item 4. Purpose of Transaction Mr. Nussdorf may, depending on market conditions, acquire additional securities of the Issuer or dispose of securities of the Issuer. Mr. Nussdorf does not have current plans or proposals to change the present board of directors or management of the Issuer or any of its subsidiaries.
