On June
17, 2010, Kenneth P. Mitchell, notified Balchem Corporation (the “Company”) of
his intention to retire as a director of the Company, effective August 6,
2010. Mr. Mitchell’s decision is not the result of any dispute
or disagreement with the Company on any matter relating to the Company's
operations, policies or practices.
