(b) Retirement of Director
On January 10, 2019, Erie Indemnity Company (the "Company") was notified by Claude C. Lilly, III of his intention to retire from the Company’s Board of Directors at the end of his current term, and not stand for re-election as a Director at the Company’s Annual Meeting of Shareholders on April 30, 2019. Mr. Lilly, 72, who has served on the Company’s Board of Directors since 2000, indicated that he has no disagreements with the Company on any matter relating to its operations, policies or practices.
