(b)   On March 13, 2006, Golfsmith International Holdings, Inc. (the “Company”) received notice of the resignation of Carl Paul as a director of the Company effective immediately. Mr. Paul’s resignation was for personal reasons and was not a result of any disagreement with the Company.
