Item 2.02. Results of Operations and Financial Condition.

On October 21, 2009, Texas Capital Bancshares, Inc. issued a press release and made a concurrent public presentation regarding its operating and financial results for its fiscal quarter ended September 30, 2009. A copy of the press release is attached hereto as Exhibit 99.1. A copy of the presentation is attached hereto as Exhibit 99.2.

Item 5.02. Election of New Director

(d)

On October 21, 2009, the Company announced the election of James H. Browning as a member of the Company’s Board of Directors. Mr. Browning was also elected to serve as a member of the Audit Committee of the Board of Directors. Mr. Browning received 3,000 restricted stock units at a grant price of $16.52 that vest in 3 equal annual installments.
