Item 8.01. Other Events.
On June 15, 2006, Michaels Stores, Inc. (the Company) received a letter from the Division of
Enforcement of the Securities and Exchange Commission
requesting that the Company preserve all documents
concerning its granting of stock options from 1990 through the present and states that the SEC
intends to request production of such documents in the future. As recently disclosed in the
Companys Form 10-Q filed on June 13, 2006, the Companys Audit Committee is conducting an internal
review of the Companys stock option practices, focused principally on the period from 1990 to
2001.
