Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

We announced on Form 8-K filed on February 14, 2007 that Maxine Syrjamaki, the Controller of Jefferies Group, Inc. and Executive Vice President and Chief Financial Officer of Jefferies & Company, Inc., has informed our management that she intends to retire within the year.

On April 16, 2007 we entered into an agreement with Ms. Syrjamaki that provides that the effective date of Ms. Syrjamaki’s retirement will be July 31, 2007.

Ms. Syrjamaki has agreed to continue in her roles until a successor is appointed and thereafter she will assist in an orderly transition.
