     On February 18, 2005, First Community Bancshares, Inc. announced by press release its first quarter 2005 cash dividend of $0.255 per share, payable on or about March 29, 2005 to shareholders of record on March 15, 2005. A copy of the press release is attached hereto as Exhibit 99.1.
