(c) On February 5, 2007, Commerce Bancorp, Inc. announced that Dennis M. DiFlorio was appointed President of Commerce Bank, N.A. A copy of the press release is attached as Exhibit 99.1.

Mr. DiFlorio, 53, has served as President of Retail Banking and Operations of Commerce since 2004. Prior to 2004, Mr. DiFlorio was Executive Vice President of Commerce. A summary of Mr. DiFlorio’s employment agreement is contained in the Company’s Annual Proxy Statement filed on April 17, 2006 and such description is incorporated by reference herein.
