(the “Company”) for the purpose of registering an additional 1,200,000 Class A Common Shares for issuance under the Gold Reserve Inc. 2012 Equity Incentive Plan, as amended (the “Plan”). Pursuant to General Instruction E to Form S-8, the contents of the Company's Form S-8 Registration Statement previously filed with the Securities and Exchange Commission (the “Commission”) with respect to the Plan on May 13, 2013 and July 7, 2014 (Reg.
