Item 7.01                      Regulation FD Disclosure

On August 27, 2009, Zions Bancorporation successfully completed its $250 million offering of new common stock, which was announced on June 1, 2009. During the second quarter, Zions issued common shares for gross proceeds of $126.5 million.  During the third quarter, Zions completed the offering, issuing 7,655,267 common shares at an average price of $15.53 per share, for gross proceeds of $123.5 million.  The cumulative offering totaled 16,832,925 common shares at an average price of $14.85. Net of commissions and fees, total proceeds to Zions were $245.7 million.

The registered sales took place through the previously announced common equity distribution program via Goldman, Sachs & Co., which was completed earlier than originally anticipated because of recent investor interest at current market prices.
