Item 8.01. Other Events.
On August 10, 2012, the Company issued a press release announcing that its Board of Directors approved a resolution to increase the authorization amount under its share repurchase program by an additional $500 million, raising the aggregate authorization under the program to $2.5 billion. The text of the press release is attached hereto as Exhibit 99.1.
