Item 8.01.    Other Events
 
It was announced by a press release dated September 18, 2006, that Paul Jennings, President and CEO of Innospec Inc, has been appointed, with immediate effect, as a non-executive director of Exide Technologies, one of the world's largest producers of lead-acid batteries and provider of stored electrical energy products and services.

Although this new position will require some investment of Mr Jennings time, he will still be dedicating his full time and attention to his role as CEO of Innospec Inc.

A copy of the press release is attached to this report on Form 8-K as Exhibit 99.1.
