Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 4, 2013, the Board of Directors of Sarepta Therapeutics, Inc. (the “Company”) assigned the position of Chief Accounting Officer (Principal Accounting Officer) (“CAO”) to Sandesh Mahatme, 48, the Company’s current Senior Vice President, Chief Financial Officer. Mr. Mahatme will replace Anthony Martgnetti as CAO effective October 4, 2013. Information on Mr. Mahatme’s background can be found in the Company’s report on Form 8-K filed with the Securities Exchange Commission on November 6, 2012, which report is incorporated herein by reference.
