EXPLANATORY NOTE:

Mayor’s Jewelers, Inc. (“Mayors”), a subsidiary of Birks Group Inc. (collectively, the “Company”), has entered into an Amendment to Employment Agreement with Mr. Albert Rahm, the Company’s Executive Vice President, Retail Operations, dated January 12, 2015. The amendment provides that if Mayors exercises its right to terminate Mr. Rahm’s employment without cause or if he resigns for good reason, he will be paid his salary and receive health and dental benefits through his termination date and for an additional six-month period.
